End-User Licence Agreement

This Terms of Service (referred to as the “Agreement”) is a legally binding agreement between you, the user (“User” or “you”), and Specifi.io Ltd (“Specifi.io”, “we”, “our”, or “us”), governing your access to and use of the Specifi.io software and services (“Services”).

By accessing, registering, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with any of the terms, you may not access or use the Services.

1. Definitions

• "Services": Refers to the Specifi.io cloud-based platform, tools, and features provided via subscription.
• "User": The individual or entity who registers for and uses the Services.
• "Account": The User's unique profile to access the Services.
• "Subscription Plan": The pricing and access level selected by the User, which determines the scope of Services.

2. Grant of Access

Specifi.io grants you a limited, revocable, non-exclusive, and non-transferable right to access and use the Services for your internal business purposes during the subscription period, subject to this Agreement. No ownership rights are granted to you in the Services or any related intellectual property.

3. User Responsibilities

By using the Services, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your login credentials and restrict access to unauthorized users.
• Use the Services only for lawful purposes and in compliance with all applicable laws.
• Avoid exceeding authorized user limits under your Subscription Plan.

You are prohibited from:

• Sharing your Account credentials or allowing multiple users to share one Account.
• Reverse-engineering, decompiling, or modifying the Services.
• Using the Services to store or transmit malicious code or harmful data.

4. Subscription Plans and Payments

1. Prepaid Subscriptions
   • Subscription fees must be prepaid for the selected monthly or yearly plan.
   • Cancellations or downgrades will take effect at the end of the prepaid period. No refunds will be provided for partial months or years.
2. Renewals and Cancellations
   • Subscriptions automatically renew at the end of each billing period unless canceled at least 14 days before the renewal date.
   • You authorize Specifi.io to charge the payment method on file for the subscription renewal.
3. Payment Failures
   • If a payment method becomes invalid or fails, you will receive a notification and must update your payment information to avoid service disruption.
4. Taxes
   • All fees are exclusive of applicable taxes, which you are responsible for paying.

5. Data Privacy and Security

1. User Data
   • You retain ownership of any data entered into the Services. Specifi.io will process this data only to provide the Services.
2. Compliance
   • Specifi.io complies with applicable privacy laws, including GDPR and CCPA. Refer to our Privacy Policy for details on how we collect, use, and protect your data.
3. Data Backup
   • While we implement robust backup protocols, you are responsible for maintaining copies of your data. Specifi.io is not liable for data loss due to User actions.
4. Security Measures
   • We use industry-standard security practices to protect your data. However, you acknowledge that no system is entirely immune to breaches, and you assume any risks associated with the transmission of sensitive data.

6. Service Levels and Support

1. Uptime
   • Specifi.io aims to provide 99.9% uptime for the Services. Scheduled maintenance or force majeure events may result in temporary downtime.
2. Support
   • Support is available via email during business hours. Response times may vary based on the complexity of the issue.
3. Maintenance and Updates
   • Specifi.io may perform regular maintenance and deploy updates to enhance the Services.

7. Termination

1. Termination by User
   • You may terminate your subscription at any time. Termination will take effect at the end of the current billing cycle.
2. Termination by Specifi.io
   • We reserve the right to suspend or terminate access to the Services if you breach this Agreement or fail to make timely payments.
3. Effect of Termination
   • Upon termination, your access to the Services will be revoked. Specifi.io will retain your data for 30 days to allow for export, after which it may be deleted.

8. Intellectual Property

All intellectual property rights, including copyrights, trademarks, and proprietary information associated with the Services, are owned by Specifi.io. You may not use these materials without explicit written consent from Specifi.io.

9. Limitation of Liability

To the fullest extent permitted by law, Specifi.io will not be liable for:

• Indirect, incidental, special, or consequential damages, including loss of profits or data.
• Total liability exceeding the subscription fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Specifi.io harmless from any claims, damages, or liabilities arising from your use of the Services or breach of this Agreement.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of the United Kingdom. Any disputes will be resolved exclusively in the courts of the United Kingdom.

12. Changes to the Agreement

Specifi.io reserves the right to update this Agreement at any time. Significant changes will be communicated via email or within the Services. Continued use of the Services after changes take effect constitutes your acceptance of the revised Agreement.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Specifi.io, superseding all prior agreements.
